AI-Generated Content

• AI-generated content should not be used without human review and modification

Subscription and Payment Terms

We offer various subscription plans and pay-per-use options through our payment processor, Paddle. By subscribing to our Service, you agree to:

• Pay all fees associated with your chosen plan
• Provide accurate billing information
• Authorize us to charge your payment method for recurring fees through Paddle
• Understand that subscription fees are non-refundable except as required by law
• Comply with all applicable payment processor terms and conditions

Subscription Plans:

• Free Tier: Limited features with 3 proposals per month
• Unlimited Plan: Monthly subscription with unlimited proposals
• Pro Plan: Advanced features including multiple variations and premium templates

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect existing subscriptions until renewal.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• You will lose access to premium features at the end of your billing period
• Your data and proposals will be retained according to our data retention policy

We offer a 30-day money-back guarantee for new subscriptions. Refunds are processed within 5-10 business days.

Payment Processor Compliance

Our Service uses Paddle as our payment processor and merchant of record. We comply with all Paddle requirements and prohibited business categories, including:

• Software Service: We provide a legitimate software-based service for proposal generation
• No Physical Products: We do not sell physical goods or products requiring physical delivery
• No Human Services: We do not provide consulting, advisory, or human services unrelated to our software
• No Prohibited Content: We do not facilitate illegal, harmful, or prohibited activities
• Legitimate Business: Our service is a bona fide software offering with clear value proposition

By using our Service, you confirm that you will not use it for any prohibited purposes, including but not limited to:

• Generating content that violates intellectual property rights
• Creating proposals for illegal or harmful activities
• Using the service for unauthorized access to data or systems
• Generating content that enables fraud or deceptive practices
• Using the service for any purpose that violates applicable laws

We reserve the right to terminate accounts that violate these compliance requirements.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROPOSALAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless ProposalAI and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration shall be conducted in Delaware, and the decision of the arbitrator shall be final and binding.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

Severability
